Counsel's draft, not yet final. This is the draft (Assetprint_Terms_and_Conditions_-_11.6.2026.docx) provided by counsel on November 6, 2026, reproduced as drafted. It is published for review and is replaced by the approved version before launch (decision W19).

1. Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Third Executor, LLC (“Company,” “we,” “us,” or “our”), a Delaware limited liability company, governing your access to and use of the Assetprint platform, including the website located at www.thirdexecutor.com, the web-based application located at app.thirdexecutor.com, and downloadable mobile applications, if applicable (collectively, the “Services” or “Assetprint”).

By creating an account, purchasing a subscription, downloading a mobile application, or otherwise accessing or using Assetprint, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not access or use Assetprint.

You represent and warrant that you are at least eighteen (18) years of age, that you are a resident of the United States, and that you have the legal capacity to enter into these Terms.

2. Description and Scope of Services

Assetprint is a financial asset inventory tool that enables users to create a comprehensive “blueprint” of their financial assets. The Services include:

  • Guided Inventory: Step-by-step prompts to document each financial asset.

  • Probate Intelligence: An informational indicator (green checkmark or red X) that estimates, based solely on the information you enter, whether an asset appears to bypass probate. Probate Intelligence is an informational estimate only and does not constitute a legal determination.

  • Third Executor Designation: A feature allowing you to appoint a trusted individual to access your Assetprint data after your death.

  • Smart Organization: Tools to organize and structure your financial asset information.

  • Optional Account Linking: Integration with Plaid to optionally link financial accounts.

  • Payment Processing: Payments are processed through Stripe.

Important Disclaimers: Assetprint does not provide financial, investment, accounting, legal, or tax advice. The Company does not act as an executor, trustee, or fiduciary in connection with the administration of any assets. Assetprint does not hold, custody, move, or transfer any user assets. Assetprint is not a will, trust, or estate planning instrument. The Probate Intelligence feature provides informational estimates only and is not a legal determination regarding probate avoidance. Users should consult their own qualified financial, legal, and tax professionals regarding their specific circumstances.

Expert Consultation and Executor Concierge services offered by the Company are separate services and are subject to separate engagement terms and fees. Accredited investor verification is a business service provided to, and invoiced to, the referring financial advisor or issuer under separate terms; it is not offered to consumers under these Terms. Individuals who complete accredited investor verification may receive complimentary access to Assetprint, subject to these Terms. Complimentary access will not convert to a paid subscription unless you affirmatively enroll in a paid subscription and provide a payment method.

3. Accounts and User Responsibilities

You agree to provide accurate, current, and complete information when creating your account and to update such information as necessary. You are solely responsible for the accuracy, completeness, and currency of all data you enter into Assetprint, including asset information, beneficiary details, and professional contact information.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify the Company immediately of any unauthorized use of your account.

You are solely responsible for selecting and informing your Designated Third Executor and for ensuring that you have the authority to share any third-party information (including beneficiary and advisor information) that you enter into Assetprint.

4. License Grant

Subject to your compliance with these Terms, the Company grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use Assetprint for your personal, non-commercial purposes. With respect to any mobile application, this license permits use on devices that you own or control, subject to the applicable app store usage rules.

The Company reserves all rights not expressly granted to you under these Terms. No license or right is granted by implication, estoppel, or otherwise.

5. Restrictions

You agree that you will not:

  • Copy, modify, adapt, or create derivative works of Assetprint or any part thereof;

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the software;

  • Sell, resell, sublicense, rent, lease, or otherwise distribute or transfer access to Assetprint;

  • Use any automated means (including bots, scrapers, or spiders) to access Assetprint;

  • Circumvent, disable, or interfere with any security or access-control features;

  • Use Assetprint for any unlawful purpose or in violation of any applicable law or regulation;

  • Remove, alter, or obscure any proprietary notices, labels, or marks;

  • Use Assetprint or any information obtained from it to build or support a competing product or service.

6. Fees and Payment

Access to Assetprint requires either a one-time fee or a paid subscription. The Company does not offer a free trial tier. All payments are processed through Stripe. By subscribing, you authorize the Company, through Stripe, to charge your payment method. All fees are non-refundable except as required by applicable law or as expressly stated by the Company.

You may cancel your subscription at any time through your account settings or by emailing contact@thirdexecutor.com. Cancellation takes effect at the end of the then-current billing period, and you will retain access until that time. For annual subscriptions, the Company will send you a reminder notice before renewal where required by applicable law. The Company reserves the right to change its pricing at any time; any price change will apply to existing subscribers only upon their next renewal following at least thirty (30) days’ advance notice by email. You are responsible for all applicable taxes, levies, and duties associated with your purchase.

7. Third-Party Services

Assetprint integrates with third-party services, including Plaid (for optional account linking), Stripe (for payment processing), and, if a mobile application is made available, the Apple App Store or Google Play Store (for mobile application distribution). Your use of these third-party services is governed by their respective terms of service and privacy policies. The Company is not responsible for the acts or omissions of any third-party service provider.

Account credentials provided through Plaid are handled by Plaid and are not transmitted to or stored by the Company. Payment card data is processed by Stripe and does not touch the Company’s servers.

8. Privacy

The collection, use, and disclosure of your personal information are governed by the Third Executor Privacy Policy, available at https://app.thirdexecutor.com/privacy, which is incorporated into these Terms by reference. By using Assetprint, you acknowledge and agree to the terms of the Privacy Policy.

9. Intellectual Property and Feedback

The Company owns all right, title, and interest in and to Assetprint, including all software, content, features, and trademarks, including the marks “Assetprint,” “Third Executor,” and “Probate Intelligence.” All rights not expressly granted herein are reserved.

You retain ownership of the data you submit to Assetprint. By submitting data, you grant the Company a non-exclusive, worldwide, royalty-free license to host, process, store, and use your data solely as necessary to provide and improve the Services, consistent with the Privacy Policy.

If you provide any feedback, suggestions, or ideas regarding Assetprint, the Company may use such feedback for any purpose without obligation or compensation to you.

If the Company makes an Assetprint mobile application available, the following additional terms apply to the application downloaded from the Apple App Store or Google Play Store:

  • These Terms are between you and the Company, not with Apple Inc., Google LLC, or any other app store operator (each, an “App Store Provider”).

  • The Company, not the App Store Provider, is responsible for addressing any claims relating to Assetprint, including but not limited to product liability claims, any claim that the application fails to conform to applicable legal or regulatory requirements, and claims arising under consumer protection, privacy, or similar legislation.

  • The Company, not the App Store Provider, is responsible for the investigation, defense, settlement, and discharge of any third-party intellectual property infringement claim related to Assetprint.

  • You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

  • You agree to comply with all applicable third-party terms of agreement when using Assetprint (e.g., your wireless data service agreement).

15. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of Assetprint shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator.

YOU AND THE COMPANY EACH WAIVE THE RIGHT TO A TRIAL BY JURY. YOU AND THE COMPANY EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING.

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court’s jurisdictional limits.
